A Regulation D Offering is a Securities and Exchange Commission (SEC) regulation governing private placement exemptions that allows companies to raise capital through the sale of equity or debt securities without having to register their securities with the SEC. Offerings for Replacement Property InterestsTM such as DST and TIC investments are typically issued under Regulation D.
